Terms of Service

Welcome to Pari, an intra-family lending platform operated by Pari Finance Inc. (“Pari,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Pari website, mobile application, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms in full. If you do not agree, you may not use Pari.

1. Eligibility

  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use Pari.
  • You represent that you have the legal capacity to enter into binding agreements.
  • You agree to comply with all applicable laws, rules, and regulations when using Pari.

2. Purpose of the Platform

Pari is designed to facilitate private lending among family and friends. Pari does not lend money, broker loans, or guarantee repayments. All loan terms and agreements are private arrangements between individual users. Pari serves as a tool to track, manage, and record loans between trusted individuals. You agree not to use Pari for commercial lending, payday lending, or lending to unknown parties.

3. Account Registration & Security

  • You are responsible for maintaining the confidentiality of your login credentials.
  • Any activity under your account is your responsibility.
  • You agree to provide accurate, current, and complete information when registering or updating your account.
  • Pari reserves the right to suspend or terminate accounts for suspicious or fraudulent activity.

4. Loan Terms & User Responsibilities

  • Loan details (amount, repayment terms, and interest, if any) are agreed upon directly between users.
  • Pari does not enforce or collect payments on your behalf.
  • You are solely responsible for honoring your financial commitments to other users.
  • You acknowledge that lending money involves risk, including the risk that a borrower may miss payments or fail to repay a loan in full. You accept these risks when you choose to lend through the Platform.
  • You agree to use the Platform only for lawful, transparent financial activity.

5. Fees and Payments

Pari may charge a service fee or processing fee on certain transactions (e.g., loan creation, disbursement, or repayment) as disclosed within the Platform. Fees are automatically calculated and displayed prior to payment. Pari uses its bank partners and Stripe Inc. to facilitate payments and subscription processing. Pari does not store payment card or bank account credentials directly.

6. Third-Party Services

Pari integrates with Plaid Inc. and its bank partners for bank connectivity, identity verification, and payment transfers:

  • Plaid enables secure linking of your financial accounts. When you link a bank account, Plaid may collect account numbers, balances, and transaction data.
  • Our bank partners handle identity (KYC) verification and payment transfers. They may collect your name, address, date of birth, and other information required for compliance.

You agree to comply with Plaid’s and our bank partners’ terms when using their services through Pari.

7. Financial Advisory Firm Partnerships

Pari partners with registered investment advisory (RIA) firms and other financial advisory firms to make the Platform available to their clients. If you access Pari through a partnered advisory firm, that firm is an independent third party. It is not an agent, employee, or affiliate of Pari, and Pari is not an agent or affiliate of the firm.

Advisory firms do not originate, underwrite, guarantee, or service loans made through the Platform, and Pari does not provide investment, tax, or legal advice on behalf of any advisory firm. With your consent or as permitted by law, Pari may share limited account or activity information with the advisory firm through which you enrolled, so the firm can support you in using the Platform. Your relationship with your advisory firm is governed by your separate agreement with that firm.

8. AI-Assisted Underwriting and Use of Banking Data

Pari uses automated systems, including artificial intelligence and machine learning models (“AI Underwriting Tools”), to help assess loan requests, for example, by analyzing repayment capacity and generating risk insights that users may consider when structuring a loan.

Consent to access banking data. By linking a bank account and using the Platform, you authorize Pari to access, retrieve, and process your banking data, including account information, balances, and transaction history obtained through Plaid, for the purpose of operating the AI Underwriting Tools and providing loan-related insights.

Consent to improve and benchmark our systems. You further grant Pari permission to use your banking data, loan performance data, and related Platform activity to train, improve, test, and benchmark our underwriting models and overall underwriting system. Where reasonably practicable, data used for these purposes will be de-identified or aggregated.

Informational only. Outputs of the AI Underwriting Tools are informational and do not constitute credit decisions, credit scores, financial advice, or a guarantee of repayment. Users remain solely responsible for deciding whether, and on what terms, to lend or borrow. You may withdraw bank account access at any time by unlinking your account, though doing so may limit or disable certain Platform features.

9. Data and Privacy

Your privacy is governed by the Pari Privacy Policy. By using Pari, you consent to the collection and use of data as described there. Pari may access, process, or store limited financial data as needed to enable transactions through our bank partners and Plaid, operate and benchmark the AI Underwriting Tools described in Section 8, prevent fraud or misuse, and comply with applicable laws. Pari does not sell or rent personal information.

10. Prohibited Activities

While using Pari, you agree not to provide false or misleading information; use the Platform for illegal, fraudulent, or commercial purposes; interfere with or disrupt Platform operations or security; attempt to access another user’s account or data; or engage in harassment, abusive behavior, or harmful conduct toward other users. Violations may result in account suspension or termination without notice.

11. Disclaimers & Limitation of Liability

Pari is not a bank, lender, credit bureau, or financial advisor. All lending activity occurs between users and at their own risk. Pari is not a party to any loan made through the Platform and does not guarantee repayment, enforce contracts, or assume responsibility for losses or disputes between users.

No liability for missed payments or defaults. To the maximum extent permitted by law, Pari shall have no liability whatsoever for any missed, late, or partial payment, or for any borrower default, insolvency, or failure to repay any loan, in whole or in part. Lenders bear the full risk of non-repayment. Outputs of the AI Underwriting Tools are provided “as is,” without warranty of any kind.

12. Indemnification

You agree to indemnify and hold harmless Pari, its officers, employees, and affiliates from any claim, loss, or liability arising out of your use of the Platform, your financial transactions (including any missed payment or loan default), or your violation of these Terms.

13. Termination

You may close your account at any time, provided the account has a zero balance, which can be achieved through full payment or loan forgiveness from both parties. Pari may suspend or terminate your access if you violate these Terms, engage in fraud, or act in a way that harms other users or Pari’s integrity. Sections regarding data, liability, indemnification, and intellectual property survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA. Any dispute or claim arising from these Terms or your use of Pari will be resolved through binding arbitration in Delaware, unless otherwise required by law.

15. Changes to These Terms

We may modify these Terms from time to time. If significant changes occur, we will notify users via email or in-app notice. Your continued use of Pari after such notice means you accept the updated Terms.
