Welcome to Pari, a peer-to-peer lending platform operated by Pari Finance Inc. (“Pari,” “we,” “our,” or “us”).

These Terms of Service (“Terms”) govern your access to and use of the Pari website, mobile application, and related services (collectively, the “Platform”). By creating an account or using the Platform, you agree to these Terms in full. If you do not agree, you may not use Pari.
 
1. Eligibility

• You must be at least 18 years old (or the age of majority in your jurisdiction) to use Pari.
   

• You represent that you have the legal capacity to enter into binding agreements.
   

• You agree to comply with all applicable laws, rules, and regulations when using Pari.
   

 
2. Purpose of the Platform
Pari is designed to facilitate private lending among family and friends.

• Pari does not lend money, broker loans, or guarantee repayments.
   

• All loan terms and agreements are private arrangements between individual users.
   

• Pari serves as a tool to track, manage, and record loans between trusted individuals.
   

You agree not to use Pari for commercial lending, payday lending, or lending to unknown parties.
 
3. Account Registration & Security

• You are responsible for maintaining the confidentiality of your login credentials.
   

• Any activity under your account is your responsibility.
   

• You agree to provide accurate, current, and complete information when registering or updating your account.
   

• Pari reserves the right to suspend or terminate accounts for suspicious or fraudulent activity.
   

 
4. Loan Terms & User Responsibilities

• Loan details (amount, repayment terms, and interest, if any) are agreed upon directly between users.
   

• Pari does not enforce or collect payments on your behalf.
   

• You are solely responsible for honoring your financial commitments to other users.
   

• You agree to use the Platform only for lawful, transparent financial activity.
   

 
5. Fees and Payments
Pari may charge a service fee or processing fee on certain transactions (e.g., loan creation, disbursement, or repayment) as disclosed within the Platform.

• Fees are automatically calculated and displayed prior to payment.
   

• Pari uses Dwolla Inc. and Stripe Inc. to facilitate payments and subscription processing.
   

• Pari does not store payment card or bank account credentials directly.
   

 
6. Third-Party Services
Pari integrates with Plaid Inc. and Dwolla Inc. for bank connectivity, identity verification, and payment transfers:

• Plaid enables secure linking of your financial accounts. When you link a bank account, Plaid may collect account numbers, balances, and transaction data.

• Dwolla handles KYC verification and payment movement. Dwolla may collect your name, address, and date of birth for compliance.

You agree to comply with Plaid’s and Dwolla’s terms when using their services through Pari.
 
7. Subscriptions and Paid Services
Certain features, such as Pari Plus or other premium services, may require a paid subscription.

• Subscription fees, billing frequency, and renewal terms will be disclosed before purchase.
   

• Payments are processed securely via Stripe.
   

• You may cancel your subscription at any time through the app or by contacting support.
   

• Refunds, if applicable, will be handled according to our Refund Policy (to be published prior to launch).
   

 
8. Data and Privacy
Your privacy is governed by the Pari Privacy Policy, available at pariapp.com/privacy-policy.
By using Pari, you consent to the collection and use of data as described there.
Pari may access, process, or store limited financial data as needed to:

• Enable transactions through Dwolla and Plaid
   

• Prevent fraud or misuse
   

• Comply with applicable laws and regulations
   

Pari does not sell or rent personal information.
 
9. Prohibited Activities
While using Pari, you agree not to:

• Provide false or misleading information
   

• Use the Platform for illegal, fraudulent, or commercial purposes
   

• Interfere with or disrupt Platform operations or security
   

• Attempt to access another user’s account or data
   

• Engage in harassment, abusive behavior, or harmful conduct toward other users
   

Violations may result in account suspension or termination without notice.
 
10. Disclaimers & Limitation of Liability

• Pari is not a bank, lender, or financial advisor.
   

• All lending activity occurs between users and at their own risk.
   

• Pari does not guarantee repayment, enforce contracts, or assume responsibility for losses or disputes between users.
   

To the maximum extent permitted by law, Pari and its officers, employees, and affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
 
11. Indemnification
You agree to indemnify and hold harmless Pari, its officers, employees, and affiliates from any claim, loss, or liability arising out of your use of the Platform, your financial transactions, or your violation of these Terms.
 
12. Termination

• You may close your account at any time.
   

• Pari may suspend or terminate your access if you violate these Terms, engage in fraud, or act in a way that harms other users or Pari’s integrity.
   

• Upon termination, your right to use the Platform ceases immediately.
  
  Sections regarding data, liability, and intellectual property survive termination.
   

 
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA.
Any dispute or claim arising from these Terms or your use of Pari will be resolved through binding arbitration in Delaware, unless otherwise required by law.
 
14. Changes to These Terms
We may modify these Terms from time to time. If significant changes occur, we will notify users via email or in-app notice.
Your continued use of Pari after such notice means you accept the updated Terms.
